Welcome to INVY Inc. ("INVY," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the INVY mobile application (the "App"), website (the "Site"), and all related services, features, content, and tools (collectively, the "Services") provided by INVY. "User" or "you" refers to any person or entity accessing or using the Services.

User Accounts

To access certain features of the Services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials (including a strong password and enabling two-factor authentication if available) and for all activities that occur under your account. You must provide accurate and complete information when creating your account. You may not use another User's account without permission. INVY reserves the right to refuse, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable. You agree to notify INVY immediately of any unauthorized access to or use of your account.

Acceptance of Our Legal Terms

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services. These Terms constitute a legally binding agreement between you and INVY.

Description of Services

INVY provides an AI-powered platform that allows Users to digitally manage their personal belongings, including but not limited to clothing, jewelry, furniture, and art (the "Items"). The Services include tools for cataloging Items, estimating their market value, and potentially connecting Users with marketplaces or other services related to asset management. The AI-powered valuation tool provides estimates based on available market data. These valuations are not guaranteed, are subject to change based on market fluctuations, and should not be considered professional financial advice. INVY does not provide financial advice, and the Services do not constitute a financial product or service. The Services are for personal, non-commercial use only unless you have a separate written agreement with INVY.

User Representations & Warranties

You represent and warrant that you have the legal right to possess and manage the Items you list on INVY.

By using the Services, you represent and warrant that:

  • You are at least 18 years of age and have the legal capacity to enter into this agreement.  

  • You own or have the legal right to possess and manage the Items you list on the App.

  • All information you provide to INVY is accurate, complete, and current.

  • You will comply with all applicable laws and regulations when using the Services.

  • You will not use the Services for any illegal or unauthorized purpose.

  • You have the right to submit and grant the licenses granted for any User Content you provide.

  • You will not misrepresent the value or condition of any Item.

  • You will not list any Items that are illegal or prohibited to own or sell.

User Content

You are solely responsible for all content you upload or submit through the Services, including but not limited to descriptions and images of Items ("User Content"). You represent and warrant that you have all necessary rights to User Content and that it does not infringe upon the intellectual property rights, privacy rights, or other rights of any third party. You grant INVY a non-exclusive, transferable, sublicensable, royalty-free, worldwide, perpetual, irrevocable license to use User Content for the purpose of providing and improving the Services, including for marketing and promotional purposes. This license includes the right to use, copy, reproduce, distribute, prepare derivative works of, display, and perform User Content in any media formats and through any media channels. You also grant INVY the right to use your name, likeness, and any trademarks or logos associated with your User Content. You understand that other users may be able to view your User Content.

Prohibited Activities

  • You agree not to:

  • Use the Services for any illegal or unauthorized purpose.

  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.  

  • Interfere with or disrupt the operation of the Services.  

  • Attempt to gain unauthorized access to any part of the Services or any other user's account.

  • Use any automated means to access the Services or collect information from the Services.

  • Upload or transmit any viruses, malware, or other harmful code.

  • Infringe upon any intellectual property rights of INVY or any third party.

  • Manipulate valuations or provide false information about Items.

  • Use the Services in any way that could harm, harass, or intimidate another user, including emotional distress.

  • Violate any applicable laws or regulations.

  • Systematically retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.  

  • Use the Services to create a product or service that is competitive with INVY.

  • Sell or otherwise transfer your account.

  • Engage in any activity that could damage, disable, overburden, or impair the Services or INVY's systems.

Intellectual Property

The Services and all content included therein, including but not limited to text, graphics, logos, trademarks, and software, are the property of INVY or its licensors and are protected by copyright and other intellectual property laws. You may not use any content from the Services without INVY's prior written consent.

Purchases & Payments

All currency will be processed as USD. On monthly subscriptions there are "No refunds. For disputes for payments made or received through a third party are processed by the merchant, and all claims should be addressed through the specific third-party merchant. INVY is not responsible for payment processing errors. Prices are subject to change.

Mobile Payment

INVY grants you a limited, non-exclusive, non-transferable license to use the App on your device. INVY may update the App, and you are responsible for installing updates.

Third-Party Links & Content

The Services may contain links to third-party websites or services. INVY does not endorse or control these third-party sites and is not responsible for their content or actions. Your use of third-party sites is at your own risk.

Privacy Policy

Our Privacy Policy governs the collection and use of your data.

Disclaimers & Limitations of Liabilities

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. INVY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. TO THE FULLEST EXTENT PERMITTED BY LAW, INVY DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. INVY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF INVY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL INVY'S TOTAL LIABILITY TO YOU EXCEED $25 or "the amount you paid to INVY, if any"]. INVY makes no representations or warranties about the accuracy or completeness of the AI-powered valuations. These valuations are estimates only and should not be relied upon for financial decisions. INVY is not responsible for any actions taken by users based on these valuations. INVY is not liable for any loss or damage to Items listed on the App.

Indemnification

You agree to indemnify and hold INVY harmless from any claims, damages, liabilities, and expenses (including attorneys' fees) arising out of or related to your use of the Services, your User Content, your breach of these Terms, or your violation of any law or regulation.

Termination

INVY may terminate these Terms or suspend your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease.

Entire Agreement

These Terms constitute the entire agreement between you and INVY regarding the Services. If you have any questions about these Terms, please contact us at: support@invy.com. No waiver of any breach of these Terms shall be deemed to be a waiver of any subsequent breach.
